1. This agreement
These Terms of Service (the “Terms”) are an agreement between you and Vitali Haus (“Vitali Haus”, “we”, “us”). They cover the website at vitalihaus.com, the Vitali Haus apps for iPhone and Android, and every service we offer through them (together, the “Service”).
By creating an account, or by using the Service without one, you accept these Terms, our Privacy Policy, our Community Guidelines and, if you use an app, the App License (EULA). If you sign a separate agreement with us, such as a brand order form or quote, or the creator claims and disclosure agreement, that agreement also applies and wins where it is more specific.
If you do not agree, do not use the Service.
2. Who can use Vitali Haus
You must be at least 18 years old and able to enter a binding contract. The Service is not meant for children and we do not knowingly collect information from anyone under 18.
If you use Vitali Haus for a company, you confirm that you are allowed to accept these Terms for it, and “you” then means both you and that company.
You may not use the Service if we have banned you before, or if the law where you live forbids it.
3. Your account
- Give accurate information and keep it up to date. A creator account belongs to one real person.
- Keep your password private. You are responsible for what happens in your account. Tell us at once if you think someone else has used it.
- We may ask you to verify who you are, your social accounts or your business before you can use some features, and we may decline an account at our discretion.
- You can delete your account at any time from the app or by asking us. See Delete your account.
4. What Vitali Haus does
Vitali Haus is a marketplace. It connects health, wellness and longevity brands (“Brands”) with people who make content about those subjects (“Creators”). Brands post campaigns and briefs, Creators apply or join, deliver content, and are paid through the Service.
We provide the tools: profiles, matching, briefs, messages, content review, contracts and payments. The creative work is agreed between the Brand and the Creator. Creators are independent. Nothing in the Service makes a Creator an employee, agent or partner of Vitali Haus or of any Brand.
We may change, add or remove features. If a change takes away something you paid for, we will tell you first and work out a fair solution with you.
5. Not medical advice
Vitali Haus does not give medical advice and is not a healthcare provider. Content on the Service, including content about GLP-1 medicines, weight, nutrition, supplements, fitness, sleep, menopause or any other health subject, is the personal experience or opinion of the person who made it, or marketing by the Brand that paid for it. It is not a diagnosis, a treatment plan or a substitute for a doctor.
Talk to a qualified healthcare professional before you start, stop or change any medicine, diet or exercise routine. If you think you have a medical emergency, call your local emergency number.
Some Creators are clinicians. When they make content on Vitali Haus they act as content creators, not as your clinician, and no doctor and patient relationship is formed through the Service.
6. Rules for Creators
- Tell the truth in your profile and your content. Your health story, results, credentials and audience numbers must be real.
- Deliver what you agreed to in the brief, on time, and only content you have the right to use (including music, footage and anyone who appears in it, who must have agreed to be filmed).
- Disclose every paid partnership clearly, for example with #ad or the platform's paid partnership label, as the FTC Endorsement Guides and similar laws require.
- Make no health claim the Brand has not approved in writing, and never claim a product cures, treats or prevents a disease unless the Brand has the legal right to say so and has given you the exact wording.
- Never sell, offer or advise on prescription medicines, doses or sources, and never encourage dangerous practices such as extreme fasting or disordered eating.
- Follow the rules of every platform you post on, including their health and paid content policies.
- You are responsible for your own taxes. We may ask for tax information before we pay you.
7. Rules for Brands
Brand plans are sold on our website by custom quote, under an order form you sign with us. They are not sold in the apps. The price, term, renewal and cancellation rules of your plan are those in your order form.
- You are responsible for your products and services and for every claim made about them, including having competent and reliable evidence for health claims and following the FDA, FTC and any other law that applies to you.
- Give Creators accurate briefs. Never ask a Creator to make a claim you could not make yourself, to hide that content is paid, or to post anything that breaks these Terms or the law.
- Pay for the work you approve, and review submitted work within the review window shown for the campaign. Work you do not review in time may be approved automatically.
- Use content only within the license agreed for the campaign (for example organic posting, paid usage or whitelisting, and for how long).
8. Claims review
We may review drafts for health claims, disclosure and platform policy before a Brand approves them. That review is a practical check to catch common problems. It is not legal or regulatory advice, it does not guarantee that content is lawful, and it does not move responsibility for claims away from the Brand or the Creator who makes them.
9. Payments, fees and held funds
- Payments go through third party payment processors, currently Stripe. You agree to their terms when you pay or are paid, and we never see or store full card numbers.
- When a Brand hires a Creator, the Brand pays the agreed amount up front. We hold that amount for the deliverable and release it to the Creator when the Brand approves the work, or when the review window passes without an answer. If the work is not delivered or a dispute is decided for the Brand, the held amount is returned under the campaign's rules.
- Holding funds this way is a feature of the Service. Vitali Haus is not a bank and is not a licensed escrow agent, and held funds do not earn interest.
- Any fee we charge is shown to you before you commit to pay it. Brand plan fees are those in your order form.
- Creators need a payout account with our payment processor to receive money. Payouts can take several business days after release, and may be delayed while we check a payment for fraud.
- If a payment is reversed, charged back or found to be fraudulent, we may reverse the matching credit and suspend the accounts involved while we look into it.
While you have an account, please keep payments for work you found through Vitali Haus on Vitali Haus. Moving them elsewhere removes the protections above and may lead us to close the accounts involved.
10. Your content and licenses
You keep ownership of what you upload: profile details, photos, videos, messages and anything else (“your content”). You give Vitali Haus a worldwide, nonexclusive, royalty free license to host, store, copy, resize, display and send your content only as needed to run, improve and promote the Service (for example showing a Creator’s profile to Brands). This license ends when you delete the content or your account, except for copies we must keep by law or that others already received under a campaign license.
Content a Creator delivers for a campaign is licensed to the Brand on the terms agreed for that campaign. Unless that agreement says otherwise, the Creator keeps ownership and the Brand receives the license described in the brief.
You promise that you have every right needed for your content, and that it does not break the law or anyone else’s rights.
11. Zero tolerance for abuse
There is no tolerance on Vitali Haus for objectionable content or abusive users. Our Community Guidelines list what is not allowed, including harassment, hate, sexual content, threats, content that sexualizes minors, and dangerous health content.
- Anyone can report a profile, a message, a campaign or a piece of content from inside the app, or by email.
- Anyone can block another user, which stops that user from messaging them.
- We review reports within 24 hours. When content breaks these Terms we remove it, and we suspend or permanently ban the user who posted it.
12. What you must not do
- Break any law, or help anyone else break one.
- Lie about who you are, impersonate anyone, or create accounts to get around a ban.
- Buy or fake followers, views, likes or reviews, or misreport the results of content.
- Sell or promote illegal products, prescription medicines without the legal right to do so, or compounded or counterfeit drugs.
- Collect other users' data, scrape the Service, or contact users for anything unrelated to the Service.
- Upload viruses or malicious code, probe our security, or put an unreasonable load on our systems.
- Copy, sell or reverse engineer the Service, except where the law allows it.
13. Other services
The Service connects to services run by other companies, such as Apple, Google, Stripe, Instagram, TikTok and YouTube. Their own terms and privacy policies apply when you use them. We are not responsible for those services, and a change on their side may change what we can offer.
14. Suspension and ending
You can stop using the Service and delete your account at any time. We may suspend or close your account, or remove content, if you break these Terms, if we must by law, or if your account puts other users, Brands or Vitali Haus at risk. Where it is safe and lawful we will tell you why and how to appeal by email.
Money already owed when an account closes is still owed: approved work is still paid, and refunds still follow the campaign’s rules. The sections on content licenses already granted, payments, disclaimers, liability, indemnity and disputes continue after an account closes.
15. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we make no promises beyond those written in these Terms, including any implied promise of merchantability, fitness for a particular purpose or non infringement. We do not promise that the Service will always be available or free of errors, that any campaign will find Creators, or that any content will perform. We do not endorse what users say or post.
16. Limits on our liability
To the fullest extent the law allows, Vitali Haus is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Service or these Terms.
Our total liability for any claim is limited to the greater of (a) the fees you paid to Vitali Haus in the twelve months before the claim, and (b) one hundred US dollars. Some places do not allow these limits, so they apply to you only as far as your local law permits. Nothing here limits liability that cannot be limited by law.
17. Your responsibility to us
You agree to defend and compensate Vitali Haus against claims, losses and reasonable legal costs that come from your content, your products or claims (for Brands), your breach of these Terms, or your breach of the law or anyone else’s rights.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law rules. If you live in a country whose law gives you rights these Terms cannot take away, you keep them.
Before starting any formal claim, write to us at support@vitalihaus.com and give us 60 days to try to resolve it. If we cannot, any dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or its Commercial Arbitration Rules for business accounts), except that either side may bring an individual claim in small claims court.
You and Vitali Haus each give up the right to a jury trial and to take part in a class action. You can opt out of arbitration by emailing support@vitalihaus.com within 30 days of first accepting these Terms.
19. App stores
If you downloaded an app from the Apple App Store or Google Play, the store’s own terms also apply, and the App License (EULA) sets out the extra terms Apple requires. Apple and Google are not parties to these Terms and are not responsible for the Service.
20. Changes to these Terms
We may update these Terms. We will change the date at the top and, for changes that matter, tell you by email or in the app at least 14 days before they take effect. If you keep using the Service after that, the new Terms apply. If you do not agree, delete your account before the change takes effect.
21. General
These Terms, with the documents they name, are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in force. If we do not enforce a part straight away, we have not given it up. You may not transfer these Terms without our consent; we may transfer them as part of a merger, sale or reorganization.
